Atlanta, GA – The U.S. subsidiary of Gilat Communications,

Ltd. (NASDAQ:GICOF), Mentergy, Inc., a leading North American provider of

enterprise e-Learning solutions, today announced two new Vice Presidents to

lead their key U.S. divisions: Adam Stewart will serve as the Vice President

for its LearnLinc Live e-Learning division in Troy, New York; and Diane

Carter LeRoy as the Senior Vice President for its Allen Communication

Learning Services division in Salt Lake City, Utah.

“To increase market focus, Mentergy continues to build its two U.S.

divisions: LearnLinc Live e-Learning and Allen Communication Learning

Services,” said Ziv Mandl, CEO of Mentergy. “These experienced executives

will play key roles in the growth of these two divisions as we move forward.

Adam Stewart and Diane Carter LeRoy have a rare depth of experience in the

e-Learning industry. Mentergy clients will benefit greatly from their

expertise and strong leadership skills.”

Mr. Stewart was most recently Director of Product Services for the LearnLinc

Live e-Learning division of Mentergy where he supervised LearnLinc product

development and customer service. Since joining LearnLinc in 1996, Stewart

has consulted with thousands of clients; helping many companies implement

their e-learning strategies. He has over ten years of experience in the

software development, service and quality arenas. Mr. Stewart began his

career in the CAD and imaging field, working with such companies as Image

Systems Technology and Softdesk. He is a graduate of Rensselaer Polytechnic

Institute and holds a B.S. in Electrical Engineering.

“Companies are looking for virtual alternatives to classroom training, new

ways to train their employees more effectively, and profitably, at their

immediate point of need,” said Adam Stewart. ” Having been a part of the

pioneering LearnLinc team for over 5 years, I am honored to be asked to

serve in this important role of creating the finest live e-Learning solution

that truly impacts our customers performance and profitability.”

“Since the launching of the first version of LearnLinc, Mr. Stewart has been

a strong force behind the success of the LearnLinc product and certainly

possesses the breadth of skills to take our live e-Learning solutions to the

next level,” said Chip Schuneman, Mentergy’s Chief Operations Officer. “His

extensive experience in customer support serves him well, because he sees

things clearly from the clients’ point of view. We’re pleased to have him

join our executive team.”

Diane Carter LeRoy has a Bachelor of Science degree in Organizational

Behavior and sixteen years of experience in planning, organizing, developing

and implementing programs in training and human resource management. Prior

to this new assignment, Carter LeRoy served for five years as the Vice

President for Courseware Development at Allen Communication. She originally

joined Allen in 1991 as the Program Director for a $4 million U.S. Air Force

contract. She supervised the design and development of twenty-one courses,

managing a staff of over 60 designers and programmers. Previous to joining

Allen Communication, Carter-Leroy managed, created, developed and presented

training courses for Fireman’s Fund Insurance Company, American Express, and

Bank of America. While at Fireman’s Fund, she created the Personal Insurance

Training Division for the company.

“In the Allen Communication Learning Services group we focus on creating

long-term partnerships with our clients,” said Diane Carter LeRoy. “The key

is to always focus on the audience and what they need to reach their

business objectives. “We ensure our clients’ success with technology-based

training by creating solutions of uncompromised design integrity that fit

clients’ unique needs.”

Mentergy Chairman Steve Allen said: “Diane Carter LeRoy has made a great
